1. Who we are — and who we are not

Jurably ("Jurably," "we," "us") provides self-help software and administrative filing services. Jurably is not a law firm, does not practice law, and does not provide legal advice, legal opinions, or any assessment of your rights, your contract, or whether any document should be filed. You select, complete, and personally sign every document. Our software and services are not a substitute for the advice of an attorney, and no attorney-client relationship is created by using them. If you need legal advice, hire a lawyer.

2. What you're buying

Each order is a one-time purchase of administrative services associated with a document you complete and sign: scheduling an online notarization session, sending statutorily related mailings, transmitting your document for county recording, and status tracking. Quoted prices are all-inclusive of those services and associated third-party costs, and are earned when the services are performed, regardless of any legal outcome. Recording is performed by county officials on their own schedules — we never guarantee recording, acceptance, timing, priority, or legal effect.

3. Your responsibilities and representations

You represent that: (a) every fact you enter — parties, addresses, legal description, dates — is accurate and yours to assert; (b) any contract underlying a filing is a genuine, written agreement you intend to perform; (c) you are authorized to sign (including on behalf of any entity you name); and (d) your use complies with applicable law. If you override information sourced from public records (for example, a mailing address), you accept sole responsibility for the consequences of that change. We may decline or cancel any order that appears inaccurate, unlawful, or abusive, with a refund of amounts not yet earned.

4. Document lifecycle

Legal-description corrections. Your documents identify the property by street address and by an attached legal-description exhibit. You authorize us, before recording, to correct or complete that exhibit so the legal description matches the county's records for the property you identified by address — so your filing is accepted the first time. We never change which property is covered, the parties, or any term, and every correction is logged in your filing's history.

A memorandum filed through Jurably is valid through the expiration date stated on its face (generally 180 days), and may be renewed from your dashboard for the renewal price shown at the time; a renewal is a new memorandum, signed and recorded again, that cites the one it continues. A release is requested from your dashboard: purchased separately (signed with an online notary and recorded by us at the price shown), or — on File + Release — signed in your original notary session and held for you to download for closing or have us record. We may send you service communications (email, and if you opt in, text or phone) about your filings.

Recording acceptance and refunds. County recording offices apply their own formatting and content requirements and may reject a submission. If a county rejects your filing, we will correct the identified issue and resubmit once at no additional charge. If the filing still cannot be recorded — or if we determine after purchase that the property's jurisdiction has no workable recording path for your document — we will refund the amount you paid us for that order, and that refund is your exclusive remedy for the failed recording. Government fees a county has actually charged and retained are not refundable by us. Some states are not supported (shown before checkout); we do not accept orders for them.

5. Disclaimer of warranties

THE SERVICES AND ALL DOCUMENTS, DATA, AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR THAT ANY FILING WILL ACHIEVE ANY PARTICULAR LEGAL RESULT. PUBLIC-RECORDS DATA AND AUTOMATED EXTRACTION MAY CONTAIN ERRORS; YOU ARE RESPONSIBLE FOR VERIFYING EVERY FIELD BEFORE SIGNING.

6. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JURABLY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES — WHETHER IN CONTRACT, TORT, STATUTE, OR OTHERWISE — IS LIMITED TO THE AMOUNT YOU PAID US FOR THE ORDER GIVING RISE TO THE CLAIM. IN NO EVENT WILL JURABLY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DEALS, LOST OPPORTUNITY, DIMINUTION IN VALUE, OR CLAIMS BY THIRD PARTIES, EVEN IF ADVISED OF THE POSSIBILITY. Some jurisdictions do not allow certain limitations; in those jurisdictions our liability is limited to the smallest amount permitted.

7. Indemnification

You will defend, indemnify, and hold harmless Jurably and its owners, employees, and contractors from any claim, demand, or proceeding — including reasonable attorneys' fees — arising out of your filings, the information you provide, your override of records-based data, your breach of these terms, or your violation of law, including any claim by a property owner, contract counterparty, or other third party relating to a document you signed and caused to be recorded.

8. Arbitration; class waiver; governing law

Any dispute arising out of or relating to the services or these terms will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in Harris County, Texas. You and Jurably each waive any right to a jury trial and to participate in a class or representative action. Either party may bring an individual claim in small-claims court instead. These terms are governed by Texas law, without regard to conflicts rules. Any claim must be brought within one year of the events giving rise to it.

9. General

These terms, together with our privacy policy, are the entire agreement between you and Jurably for the services. We may update them prospectively by posting a revised version; continued use after posting is acceptance. If any provision is unenforceable, the remainder stands. We may assign these terms in connection with a reorganization or sale; you may not assign them. Questions: [email protected].
