What is a notice of contract?

A notice of contract is a recorded instrument that alerts the public that a party holds a contract to purchase a specific property. In practice it functions the same way as a memorandum of contract: it gives constructive notice of the buyer’s equitable interest without disclosing the contract’s private terms.

The exact form and requirements vary by state — Texas, for example, has a specific residential-notice statute — but the purpose is consistent: make a private agreement visible in the public record so a third party cannot claim ignorance of it.
